Press Release

 

On October 25, 2021, Augmedix, Inc. (the “Company”) issued a press release announcing the pricing of the Company’s underwritten public offering (the “Offering”) of 10,000,000 shares of the Company’s Common Stock, $0.0001 par value per share (the “Common Stock”), and the Uplisting (as defined in Item 8.01 of this Current Report on Form 8-K), a copy of which is attached hereto as Exhibit 99.1.

 

The information set forth in Item 7.01 of this Current Report on Form 8-K and in the attached Exhibit 99.1 is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section. As a result of the Offering, the Company’s common stock will become listed on the Nasdaq Capital Market and will trade under the ticker symbol “AUGX” beginning on October 26, 2021 (the “Uplisting”).
